GREEK PICNIC
EXHIBITOR SPACE AGREEMENT
AGREEMENT made this _____day of ____________, 2002 by and
between The Philadelphia Alumni Chapter of the National Pan-Hellenic Council
(Hereinafter referred to as PHC) and _____________________________
of _______________________________ (Hereinafter referred
to as "Exhibitor").
FOR GOOD AND VALUABLE CONSIDERATION, receipt of which is hereby expressly
mutually acknowledged, the PHC and Exhibitor hereby agree as follows:
1) Holding of the Annual Greek Picnic:
PHC will hold its annual Greek Picnic on Saturday, July 13, 2002 in Fairmount
Park (“The Exhibition Space”), in the City of Philadelphia, State of
Pennsylvania. PHC will make all the exhibition arrangements for the Greek Picnic.
2) Exhibit Space:
a) PHC will give Exhibitor the following space: One, 10 foot
by 10 foot Exhibition Space, a larger space allotted if $250 dollars is paid.
Exhibitor agrees not to exhibit, sell or display any other items without the
written permission of PHC.
b) Exhibitor shall only be permitted to sell items, goods
products, paraphernalia, etc. bearing the name, insignia, shield, logo, etc. of
any Fraternity or Sorority which is a member of the PHC, after having secured
written permission or licensing from the National Organization (Fraternity or
Sorority) which owns the rights to said name, insignia, shield, logo,
etc.
i)
Proof of Licensing shall be presented to any member of PHC
upon request and shall be brought to the Exhibition space on the day of the
picnic.
Exhibitor shall refrain from having excessively loud sound, which will
interfere with other Exhibitors use of their space.
3) Charge
for Use of Space:
For the right to use of the Exhibition space, Exhibitor shall pay to NGNE the
sum of One Hundred and Fifty Dollars ($150.00) or ($250.00) on or
before June 29, 2002.
The fee for the Exhibition Space shall be paid by U.S. Postal Money order or by
Bank Certified Check. NO PERSONAL OR BUSINESS CHECKS WILL BE ACCEPTED.
4) Failure to Hold The Greek Picnic or to Provide Exhibition
Space Should PHC not hold The Greek Picnic, or give to Exhibitor, the
Exhibition Space, then PHC will refund to Exhibitor all money paid as a result
of this Agreement, (except as limited by this Agreement). Exhibitor shall
accept the refund in full settlement of all loss or damage suffered by
Exhibitor.
5) Installation of Exhibits
a) All exhibits must be fully installed by 10 a.m. on Saturday,
July 13, 2002. After this hour, no more installation of exhibits
will be allowed without the special written permission from PHC.
b) Exhibitor shall not place articles that obstruct the
walking path, or other exhibition space, set out in the space in front of,
behind or on either side of their Exhibition Space.
c) All exhibits must be confined to the limits of the
Exhibitor's Space.
6) Hours
of the Greek Picnic:
The Greek Picnic will begin at 8 a.m. on July 13, 2002 and close at 6 p.m. on
July 13, 2002. Exhibitor must remove everything Exhibitor brought to the
Exhibition space (This includes all materials, supplies, tables, chairs and
other Exhibition items, etc.) when Exhibitor leaves the Exhibition Space.
7) Irregular
Advertising:
The Greek Picnic is limited to those persons, firms, companies and corporations
that have contracted and paid for exhibit space in Fairmount Park. No other
persons, firms, or corporations will be permitted to demonstrate or sell food,
items or other products, solicit orders, or distribute advertising materials in
Fairmount Park. Any person, firms, companies or corporations violating this
rule will be promptly ejected from Fairmount Park.
8) No
Raffles
No exhibitor shall conduct a raffle or similar activity without the expressed
written permission of PHC.
9) Assignment
and Use by Others:
No Exhibitor may assign, give or sell this Agreement for Exhibition Space or
permit any other person to use any part of such space (Exhibitor Spaces are
Non-Transferable).
10) Passes:
Exhibitors will be furnished with passes and will be required to wear them at
all times. Exhibitors must show these passes to any PHC staff member, Police,
Park or other City Official upon request. Any persons, firms, companies or
corporations violating this rule will be promptly ejected from Fairmont Park.
11) Liability:
a)
Exhibitor must guard and protect its items and goods from the
time they are placed in the Exhibition Space until the time they are removed by
Exhibitor. The PHC shall not be responsible for, or guarantee to
Exhibitor, the safety of Exhibit items and other materials against, fire,
theft, accident or any injury whatsoever.

b) It is agreed that Exhibitor shall bear all responsibility to the Exhibition Space by reason of its Exhibit, and shall indemnify PHC for all liability, which might result by reason of its Exhibition or presence at the Greek Picnic.
12) Indemnification:
a) Exhibitor hereby warrants, represents and agrees that:
i) Exhibitor has the right to enter into and fully perform this Agreement
ii)
Exhibitor owns all rights in and to the products, items, food,
etc., that Exhibitor is
exhibiting or vending without limitation
iii) None of the Exhibitor's activities shall violate any law or violate the rights of any person and
iv) Exhibitor shall secure all permits and licenses necessary to wholly perform this Agreement. To the extent that PHC incurs costs because of any products, items or food that Exhibitor is exhibiting or vending, PHC shall, without prejudice to any other rights and remedies have the right to recover costs from Exhibitor.
b)
Exhibitor will indemnify and hold PHC harmless from and
against any
claims rising out of any breach of any representation, warranty or agreement
herein or any loss, injury or other harm suffered by PHC or any one not a
party to this Agreement as a result of Exhibitor's exhibition.
13) Failure to Pay, Occupy Space, or Secure Necessary Licenses:
a) If the space assigned to Exhibitor is not fully paid by June 29, 2002, PHC may, at its option, end this contract and assign the space to another Exhibitor.
i) PHC requires full payment to secure Exhibitor's space; PHC will not accept installment or down payments to secure space.
b)
If Exhibitor does not claim or occupy its Exhibition Space
before 10 a.m.
on Saturday, July 13, 2002, PHC may, at its option, end this Agreement and
assign the Exhibition Space to another exhibitor.
c)
If Exhibitor does not secure the necessary licensing required
by this Agreement, PHC may, at its option, end this Agreement and assign
the Exhibition Space to another exhibitor.
In neither case shall the defaulting Exhibitor be entitled to the refund of any
money paid in advance to PHC in payment for such Exhibition Space.
14) Sale of Greek Picnic Products:
a) Exhibitors are prohibited from selling clothing or other articles representing the Philadelphia Greek Picnic in any way, shape or form.
b)
Should an Exhibitor choose, their products must be
pre-approved by the Committee,
understanding that an up-front fee must be paid to sell such items at the Greek
Picnic.

c) If an Exhibitor does not comply, they will be asked to leave the Park with no refund and will not be asked to participate in further Greek Picnic or Pan-Hellenic events.
IN WITNESS
WHEREOF, PHC and Exhibitor have executed this Agreement on the day
and date first above written.
